MOMO Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and MOMO ("we," "us," or "our"). They govern your access to and use of the MOMO website, applications, conversational search, voice features, business listings, business tools, QR tools, and related services (collectively, the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

This is a template for informational purposes. Consult with a qualified attorney for legal advice specific to your situation.

1. About the Service

MOMO is a conversational local business directory. The Service may allow users to:

  • search for and compare local businesses using text, dictation, or realtime voice;
  • view business details, ratings, reviews, hours, location information, and contact options;
  • save businesses and conversation history;
  • generate QR codes;
  • create and manage an account;
  • submit a request to claim a business listing; and
  • manage and publish an approved business profile.

Features may be experimental, incomplete, changed, suspended, or discontinued at any time.

2. Eligibility

You must be at least thirteen (13) years old and legally capable of entering into these Terms. If you use the Service for a business or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

The Service is not available to anyone prohibited from using it under applicable law or previously suspended from the Service unless we authorize reinstatement.

3. Accounts

Some features require an account. You agree to:

  • provide accurate, current, and complete information;
  • keep account and profile information updated;
  • protect your password, authentication method, and devices;
  • promptly notify us of suspected unauthorized access; and
  • accept responsibility for activity under your account, except to the extent prohibited by law.

You may authenticate with an email and password or a supported third-party provider. Your use of a third-party authentication provider is also governed by that provider's terms.

We may refuse registration, require verification, reclaim usernames or workspace identifiers, or suspend access where reasonably necessary to protect the Service or comply with law.

4. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • violate any law, regulation, court order, contractual duty, or third-party right;
  • use the Service to harass, threaten, exploit, discriminate against, impersonate, or harm another person;
  • submit content you do not have the right to provide;
  • submit false, deceptive, defamatory, fraudulent, or materially misleading information;
  • falsely claim to own, manage, represent, or control a business;
  • manipulate ratings, reviews, rankings, analytics, calls, saves, clicks, claims, or other engagement signals;
  • scrape, harvest, crawl, index, copy, or extract data from the Service by automated means except as expressly permitted by us or applicable law;
  • probe, scan, test, bypass, or compromise security, authentication, rate limits, access controls, or technical restrictions;
  • reverse engineer, decompile, disassemble, or attempt to derive source code except where such restriction is prohibited by law;
  • introduce malware, malicious code, harmful URLs, excessive traffic, or disruptive requests;
  • use the Service to develop or train a competing model, directory, dataset, or product without our written permission;
  • use output from the Service to make high-impact decisions about employment, housing, credit, insurance, healthcare, education, legal rights, or access to essential services;
  • use voice or audio features to record or transmit another person without any consent required by law;
  • include sensitive personal information, confidential information, credentials, payment-card data, government identifiers, or protected health information in prompts or free-text fields unless necessary and authorized;
  • use the Service for emergency dispatch or as a replacement for emergency services; or
  • assist another person in doing any of the above.

We may investigate suspected violations and remove content, restrict features, suspend accounts, preserve evidence, or cooperate with lawful authorities.

5. Location, Maps, Calls, and External Actions

The Service may use your selected or device location to rank nearby businesses and may provide links for calls, websites, maps, directions, bookings, or other actions.

You are responsible for confirming:

  • the identity and suitability of a business;
  • the correct address, route, service area, phone number, website, and destination;
  • current hours, availability, prices, qualifications, licences, insurance, and accessibility;
  • travel conditions and personal safety; and
  • any terms imposed by the business or third-party service.

Do not interact with the Service while driving or in any situation where doing so would be unsafe or unlawful. Map, distance, travel, and location information may be delayed, unavailable, or inaccurate.

6. AI and Voice Features

The Service uses automated systems and artificial intelligence to interpret requests, classify intent, retrieve and rank businesses, summarize information, synthesize reviews, transcribe speech, generate responses, and support realtime voice interactions.

You understand and agree that:

  • AI-generated content may be inaccurate, incomplete, outdated, biased, or unsuitable;
  • the Service may misunderstand speech, context, intent, names, addresses, or urgent circumstances;
  • business rankings and summaries are automated recommendations, not guarantees or endorsements;
  • voice features may transmit audio, transcripts, prompts, location context, and responses to service providers;
  • you should independently verify important information before acting; and
  • you are responsible for how you use and rely on Service output.

MOMO does not provide medical, legal, financial, emergency, safety, or other professional advice. If there is an emergency or immediate risk, contact the appropriate emergency service directly.

7. Business Listings

Business listing information may come from public sources, third-party providers, automated processing, users, and business representatives. We do not guarantee that a listing is complete, current, accurate, authorized, endorsed, or suitable for your needs.

A listing's presence, ranking, verification status, claim status, or profile content does not mean that MOMO:

  • owns, operates, controls, recommends, certifies, or endorses the business;
  • has verified every licence, qualification, review, statement, product, service, price, or safety practice;
  • guarantees the business will respond, perform, or honour information displayed; or
  • is a party to a transaction between you and the business.

Businesses are solely responsible for their products, services, statements, customer relationships, transactions, and compliance with law.

8. Business Claims and Workspaces

To claim a business, you must have authority to represent it and provide truthful, sufficient evidence. We may:

  • request additional evidence;
  • contact the business or other sources;
  • approve, reject, cancel, reopen, or revoke a claim;
  • resolve competing claims in our discretion;
  • limit workspace roles and permissions; and
  • suspend or remove access where ownership or authority is disputed.

Approval of a claim confirms only that we accepted the evidence for Service access at that time. It is not a legal determination of ownership, agency, trademark rights, corporate authority, or any other right.

Business workspace members are responsible for maintaining appropriate permissions and promptly removing users who no longer have authority.

9. Business Profile Content

If you submit or publish business profile content, you represent and warrant that:

  • you have all rights and permissions necessary to submit and publish it;
  • it is accurate and not misleading;
  • it does not infringe intellectual property, privacy, publicity, confidentiality, consumer-protection, advertising, or other rights;
  • any testimonials, promotions, prices, claims, and disclosures comply with law; and
  • links and contact details are safe and direct users to the intended destination.

Draft profile content may be stored privately within an authorized workspace. Content you choose to publish may become publicly available and may be indexed, copied, cached, or shared by others.

You grant MOMO a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to host, store, reproduce, format, adapt, display, distribute, and otherwise use submitted content as necessary to operate, secure, promote, and improve the Service. This licence continues for a reasonable period after removal where content remains in backups, caches, legal records, or previously distributed materials.

You retain any ownership rights you have in your content.

10. User Feedback

If you provide ideas, suggestions, or feedback about the Service, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use and exploit that feedback without restriction or compensation. Do not submit feedback you consider confidential.

11. QR Tool

The QR tool may allow you to generate a code for a URL. You are solely responsible for the destination and use of each code.

You must not use the QR tool for:

  • malware, phishing, credential theft, fraud, or deceptive redirects;
  • unlawful, infringing, harmful, or misleading content;
  • impersonation or misrepresentation of affiliation; or
  • any destination you do not have authority to promote.

Automated safety checks, if enabled, are limited and may fail to identify harmful content. A generated QR code is not an endorsement or security certification by MOMO. Test the code and destination before publishing, printing, or distributing it.

We may impose rate limits, store generation records, reject URLs, or disable access to protect users and the Service.

12. Saved Businesses and Conversation History

Signed-in users may save businesses and conversation messages to their account. Users who are not signed in may have certain preferences or saved-business identifiers retained in browser storage.

Conversation history may include typed messages, voice transcripts, assistant responses, search results, selected market, and location labels. Starting a new search may archive rather than immediately delete the previous conversation.

Do not treat saved content or conversation history as permanent storage. We may impose limits, remove data, change storage behaviour, or discontinue these features. Keep independent records of information you need to retain.

13. Privacy

Our collection and use of personal information is described in the MOMO Privacy Policy. By using the Service, you acknowledge that information will be processed as described there.

14. Third-Party Services

The Service may rely on or link to third-party services, including AI providers, authentication providers, database and hosting providers, Google services, map and tile providers, telephone applications, business websites, and booking services.

We do not control and are not responsible for third-party services, content, availability, security, or practices. Your use of a third-party service is governed by its own terms and policies. A link or integration does not imply endorsement.

15. Intellectual Property

The Service, including its software, design, branding, text, graphics, interfaces, selection, arrangement, and other content provided by MOMO, is owned by or licensed to us and protected by intellectual property and other laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service for its intended purpose.

Except as permitted by law or with our written permission, you may not copy, modify, distribute, sell, lease, sublicense, publicly display, create derivative works from, or exploit the Service or MOMO content.

MOMO names, logos, and marks may not be used without written permission. Third-party business names, logos, reviews, images, and marks belong to their respective owners.

If you believe content on the Service infringes your copyright, trademark, privacy, publicity, or other right, send a notice to support@momotop10.com containing:

  • your name and contact information;
  • identification of the right and the material at issue;
  • the location of the material in the Service;
  • an explanation of the alleged infringement;
  • a statement that the information is accurate and that you are authorized to act; and
  • any other information required by applicable law.

We may remove or restrict material while reviewing a complaint and may forward the complaint to the person who submitted the material.

17. Service Changes and Availability

We may change, limit, suspend, or discontinue any part of the Service. We do not guarantee that the Service or any content will always be available, uninterrupted, secure, or error-free.

We may establish or change limits on storage, requests, voice sessions, QR generation, saved items, accounts, or other features. To the extent permitted by law, we are not liable for changes, suspension, or discontinuation.

18. Suspension and Termination

You may stop using the Service at any time. To request account deletion, contact support@momotop10.com.

We may suspend, restrict, or terminate access if we reasonably believe:

  • you violated these Terms or applicable law;
  • your use creates risk, harm, liability, or disruption;
  • your account or business claim is fraudulent, compromised, or unauthorized;
  • suspension is required by a service provider or authority; or
  • continued provision is no longer commercially or technically feasible.

Where appropriate, we may provide notice and an opportunity to address the issue.

On termination, your right to use the Service ends. Provisions that by their nature should survive will survive, including ownership, licences, disclaimers, liability limits, indemnity, disputes, and enforcement provisions.

20. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." MOMO AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR COLLATERAL, INCLUDING WARRANTIES OR CONDITIONS OF MERCHANTABILITY, QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
  • SEARCH RESULTS, AI OUTPUT, TRANSCRIPTS, MAPS, DIRECTIONS, DISTANCES, HOURS, REVIEWS, RATINGS, OR BUSINESS INFORMATION WILL BE ACCURATE OR CURRENT;
  • A BUSINESS WILL BE AVAILABLE, SAFE, QUALIFIED, LICENSED, INSURED, OR SUITABLE;
  • DEFECTS OR HARMFUL COMPONENTS WILL BE DETECTED OR CORRECTED; OR
  • CONTENT OR DATA WILL NOT BE LOST.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOMO AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, or any mandatory consumer right.

22. Indemnity

To the extent permitted by law, if you use the Service for a business or commercial purpose, you agree to defend, indemnify, and hold harmless MOMO and its affiliates, directors, officers, employees, agents, licensors, and service providers from claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable legal fees, arising from or related to:

  • your use or misuse of the Service;
  • your content, business profile, claim, QR destination, or communications;
  • your violation of these Terms or applicable law;
  • your infringement or violation of another person's rights; or
  • a dispute between you and a business, customer, workspace member, or other third party.

We may control the defence of an indemnified claim, and you agree to cooperate. This section does not apply to consumers where prohibited by law.

23. Governing Law and Disputes

These Terms are governed by the laws of ONTARIO CANADA, without regard to conflict-of-law rules.

Subject to any mandatory consumer rights, the courts located in ONTARIO CANADA will have exclusive jurisdiction over disputes arising from or related to these Terms or the Service.

Before filing a claim, you and MOMO agree to attempt in good faith to resolve the dispute by sending written notice and allowing at least 30 days for a response.

Nothing in this section prevents either party from seeking urgent injunctive relief or using a small-claims process where eligible.

24. Changes to These Terms

We may update these Terms. We will post the updated Terms, revise the "Last updated" date, and provide additional notice where required by law.

Material changes will apply prospectively. If you continue using the Service after updated Terms take effect, you agree to the updated Terms. If you do not agree, you must stop using the Service.

25. General Terms

  • Entire agreement: These Terms and any additional terms presented for a feature form the entire agreement concerning the Service.
  • Order of precedence: Feature-specific or paid-service terms control over these Terms only for the subject they address.
  • No waiver: Failure to enforce a provision is not a waiver.
  • Severability: If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions continue.
  • Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, financing, merger, sale, or transfer of the Service, subject to applicable law.
  • No partnership: These Terms do not create an employment, agency, partnership, franchise, fiduciary, or joint-venture relationship.
  • Electronic communications: You agree to receive notices electronically where permitted by law.
